Welcome to Nutrition Lab Sciences! The terms “we”, “us” and “our” refer to Nutrition Lab Sciences Pty Ltd (ACN 681 805 569). Nutrition Lab Sciences operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”) together with our Privacy Policy and any other policies linked within, set out your rights and responsibilities when using the Services.

By visiting, interacting with, or purchasing through our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.

Section 1 – Access and account

You must be at least the age of majority in your state, territory, or country of residence to use the Services. You may allow your minor dependants to use the Services only with your supervision and on devices you own or control.

You agree to provide accurate, current, and complete information when creating an account or making a purchase, and to update it as needed. You are solely responsible for keeping your account login credentials secure and for all activity under your account.

Section 2 – Our products

We make every effort to ensure product descriptions and images are accurate. However, colours and appearance may vary due to device display differences.

While we take great care to ensure the quality of our products, we cannot guarantee that they will always meet every individual’s expectations. Product descriptions, specifications, and availability may change at any time without notice. We reserve the right to discontinue any product and to limit quantities available for sale.

Section 3 – Orders

When you place an order, you are making an offer to purchase. We reserve the right to accept or reject your order at our discretion. Orders are accepted once payment has been received and confirmed.

Our Essentbio product is supplied through subscription only:

  • USD $90 per quarter plus flat-rate international shipping. Flat-rate shipping is applied per order based on the recipient’s country. Exact shipping fees are displayed at checkout before you finalise your order.

  • All billing is processed in USD. Currency conversions shown online are indicative only.

  • Subscriptions auto-renew approximately every three months to ensure no lapse in supply.

  • You may reschedule or cancel any time via your account portal.

  • Customers are responsible for all taxes, duties, and landing costs applicable in their country.

Your purchases are for personal or household use only and not for commercial resale.

Section 4 – Prices and billing

Prices are subject to change without notice. The price charged will be the price in effect at the time of your order. Our stated product prices exclude taxes, duties, shipping, and handling unless expressly stated otherwise.

You agree to provide valid and authorised payment details, and you authorise us to charge your nominated payment method for each billing cycle until cancellation. If payment fails, we may suspend your subscription until payment is received.

Section 5 – Shipping and delivery

Essentbio is currently available to subscribers in Australia, New Zealand, the United States, Canada, the United Kingdom, and countries within the European Union. We are actively working to expand global access and are committed to making Essentbio available worldwide as quickly as possible. 

We are scaling up our production capacity, and every order retains its place in our processing queue. Orders are fulfilled in the sequence they are received, and we work to dispatch each one as quickly as possible while maintaining our quality standards.

Delivery times vary by location and are subject to customs processing. Risk of loss and title pass to you once goods are delivered to your nominated address or marked “delivered” by the carrier. We are not liable for delays caused by carriers, customs, or events outside our control.

If customs refuses or seizes your order, no refund will be issued unless goods are returned to us in saleable condition.

Section 6 – Intellectual property

All content on the Services (including trademarks, text, images, product designs, and arrangements) is owned by or licensed to us and protected by Australian and international intellectual property laws.

You may not reproduce, distribute, modify, display, or use our content without prior written consent. All rights not expressly granted are reserved.

Section 7 – Optional tools

You may be given access to third-party tools through the Services. These are provided “as is” without warranties, and we have no liability for your use of them. Your use is at your own risk and subject to the provider’s terms.

Section 8 – Third-party links

The Services may contain links to third-party websites. We are not responsible for their content or accuracy. Accessing them is at your own risk, and their policies will apply to any transactions you undertake there.

Section 9 – Relationship with Shopify

Nutrition Lab Sciences is powered by Shopify for our online ecommerce website. Any purchases you make are directly with us. Shopify is not responsible for any transactions or disputes between you and us. You release Shopify from any claims related to your purchases.

Section 10 – Privacy policy

Your personal information is collected and used in accordance with our Privacy Policy and, where applicable, Shopify’s Privacy Policy.

Section 11 – Feedback

If you submit feedback, you grant us a perpetual, worldwide, royalty-free licence to use it for any purpose. You represent that you have the rights to provide it and that it does not infringe on others’ rights.

Section 12 – Errors, inaccuracies and omissions

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate, at any time, without prior notice.

Section 13 – Prohibited uses

You must not use the Services for any unlawful or prohibited purpose, including violating intellectual property rights, harassing others, transmitting viruses, or attempting to circumvent security measures.

Section 14 – Termination

We may terminate your access to the Services without notice if you breach these Terms. You remain liable for any outstanding amounts up to the date of termination.

Section 15 – Disclaimer of warranties

Except as required under the ACL, the Services and products are provided “as is” and “as available,” without warranties of any kind, express or implied.

Section 16 – Limitation of liability

To the fullest extent permitted by law:

  • Our liability for breach of any non-excludable guarantee is limited to resupplying the goods or refunding the purchase price.

  • We are not liable for indirect, incidental, special, or consequential loss, including loss of profits, data, or savings.

Section 17 – Indemnification

You agree to indemnify and hold harmless Nutrition Lab Sciences, Shopify, and their affiliates from any claims, losses, or damages arising from your breach of these Terms or misuse of the Services.

Section 18 – Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Section 19 – Waiver; entire agreement

Failure to enforce any provision will not constitute a waiver. These Terms constitute the entire agreement between you and us regarding the Services.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours without restriction.

Section 21 – Governing law

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria.

Headings are for convenience only and do not affect interpretation.

Section 23 – Changes to terms of service

We may update these Terms from time to time. We will notify you of any material changes as required by law. Your continued use of the Services after changes take effect constitutes acceptance.
